Terms of Service

These Terms of Service (“Terms”) govern your access to and use of services operated by EverythingMachines (“we,” “us,” “our”). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Service Description

EverythingMachines is a platform that creates and maintains machine-consumable brand inputs designed for use by large language models (LLMs) and AI systems. Our services include content caching, LLM-readiness auditing, scoring, and related tools.

2. Use at Your Own Risk

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. You acknowledge and agree that your use of EverythingMachines is entirely at your own risk. We make no warranties, express or implied, regarding the reliability, accuracy, availability, or fitness for a particular purpose of the service.

3. Best Business Efforts

We will use commercially reasonable, best business efforts to ensure the service operates as described, to maintain uptime, and to resolve issues in a timely manner. However, we do not guarantee uninterrupted or error-free operation of the service.

4. User Responsibilities

You agree to use EverythingMachines only for lawful purposes and in accordance with these Terms. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. You agree not to misuse the service, attempt to gain unauthorized access, or interfere with other users’ use of the service.

5. Intellectual Property

All intellectual property rights in the service, including but not limited to software, design, branding, and documentation, remain the exclusive property of EverythingMachines. You retain ownership of any content you provide to the service. By submitting content, you grant us a limited, non-exclusive license to process and display that content solely for the purpose of providing the service.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERYTHINGMACHINES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising from or related to the service shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless EverythingMachines, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to your use of the service, your violation of these Terms, or your violation of any rights of a third party.

8. Disclaimer of Warranties

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9. Termination

We may suspend or terminate your access to the service at any time, with or without cause, and with or without notice. You may stop using the service at any time. Upon termination, your right to use the service ceases immediately.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will make reasonable efforts to notify you of material changes. Your continued use of the service after changes are posted constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Delaware.
